Richard F. Moroco
RICHARD F. MOROCO is a partner in the Business Group of Pietragallo Gordon Alfano Bosick & Raspanti, LLP. He is located in the firm’s Sharon, Pennsylvania office.
Mr. Moroco’s practice focuses on mergers and acquisitions, entity formations, venture capital finance, corporate governance and securities law, and financial restructuring and workouts, representing clients in a wide range of industries.
In addition, Mr. Moroco has extensive expertise in the area of international business, including global sourcing, with a particular emphasis on China and the Asian market. Mr. Moroco was a featured presenter at the 2008 Great Lakes Industrial Summit, speaking on the “Legal and Practical Implications of Doing Business in China”.
Recent matters representative of Mr. Moroco’s practice include:
- Counseling a client in the formation of a wholly-owned foreign enterprise in the People’s Republic of China
- Assisting in the formation of a Hong Kong corporate enterprise
- Successfully facilitating the preparation of a private placement to raise $4.2 million to fund a start-up workers’ compensation insurance carrier, in addition to numerous other activities associated with this engagement leading up to the company receiving its Certificate of Authority
- Handling the private placement for a private country club in its successful conversion to a semi-private entity
- Representing shareholders of a private company in sale of its stock to a foreign acquirer
- Representing a private company in the sale of substantially all of its assets to metals distribution company
- Representing management in buyout of majority shareholder of a private company
- Representing and negotiating restructuring of debt of a private company with a national banking institution
- Representing and negotiating divestiture of a private company’s foreign direct investment in Hong Kong and People’s Republic of China
Mr. Moroco also serves as managing member of PTR Group, LP, a Pennsylvania holding company with interests in metal stamping, deep drawing, and precision tool and mold manufacturing. He has also been elected to the Shenango Valley Industrial Development Corporation.
Licensed to practice in Pennsylvania, Mr. Moroco received his J.D. degree, magna cum laude, from the University of Detroit Mercy School of Law. He earned his B.A. from John Carroll University in Cleveland, Ohio.
