MARTIN T. DURKIN, JR. is a partner at the firm of Pietragallo Gordon Alfano Bosick & Raspanti, LLP and is a member of the firm’s Business Group. He concentrates his practice in the areas of Corporate and Business Law, Mergers and Acquisitions, Commercial Transactions, and Health Care Law.Mr. Durkin represents clients in negotiating and drafting a wide variety of business contracts, including, stock purchase and asset purchase agreements and documents that are ancillary to such transactions; conducting due diligence inquiries; commercial leasing agreements; purchasing and vendor agreements; technology licensing agreements; confidentiality and non-compete agreements; employment agreements; independent contractor agreements; shareholder agreements; partnership agreements; drafting of incorporation agreements and associated documents. In addition, he advises clients on everyday legal issues that in-house counsel may confront, including assisting clients in understanding matters in litigation and related strategy. Mr. Durkin has assisted clients of the firm on several substantial stock purchase and asset purchase acquisitions. He also currently advises one of the firm’s clients that operates a manufacturing facility as outside counsel.
Mr. Durkin also represents health care providers such as physician practice groups; physicians; physician extenders; and other related medical personnel and entities in matters involving analysis of state and federal laws pertaining to antitrust, privacy, fraud and abuse. He has assisted many health care clients in a variety of matters, including negotiating and drafting of physician service agreements; medical directorship agreements; hospitalist agreements; physician and physician extender employment agreements; locum tenens agreements; employee leasing agreements; and business associate agreements.
Prior to joining the firm, Mr. Durkin worked for the Senate of Pennsylvania as Counsel to a State Senator and the Senate Finance Committee. During his tenure with the Senate, he co-authored Act 102 of 1994, which Act provided for sweeping changes to the organ donation process and is still considered nationally to be landmark legislation. Thereafter, he served as the Chief of Staff for a member of the Allegheny County Board of Commissioners.
Mr. Durkin was appointed by the Disciplinary Board of the Supreme Court of Pennsylvania to serve as a Hearing Committee member and was recently reappointed by the Board to serve a second term through July 2010. He previously served as a Board Member of the Allegheny County Sanitary Authority from 1999 through 2004.
Mr. Durkin graduated with a B.A. from the University of Pittsburgh and a J.D. from Widener University School of Law.
Mr. Durkin is admitted into practice in the Commonwealth of Pennsylvania and the state of New York. He is a member of the American Bar Association, Pennsylvania Bar Association and Allegheny County Bar Association, and is a member of the American Health Lawyers Association. Mr. Durkin was recognized by the Law & Politics Magazine as a “Pennsylvania Super Lawyer--Rising Star” (recognition given to attorneys under the age of 40) for 2005 and 2006 in the areas of Business and Corporate Law.
